Terms & Conditions

These terms govern every quotation, proforma, order and delivery supplied by ViraChem j.d.o.o. to the business customer named on this document (“the Buyer”). ViraChem supplies to businesses only: by placing an order the Buyer confirms it acts in the course of its trade or profession and not as a consumer. Placing an order, accepting delivery, or paying any proforma or invoice in whole or in part, constitutes acceptance of these terms in their entirety. The Buyer’s own purchase or general terms are expressly excluded unless ViraChem accepts them in writing, and ViraChem’s silence on receipt of them is not acceptance.

Risk passes to the Buyer upon dispatch. Title to the goods remains with ViraChem until payment for them has been received in full; where the price is payable in instalments, no part of the goods passes into the Buyer’s ownership until the final instalment has been received in cleared funds. Until title passes the Buyer shall keep the goods identifiable as ViraChem’s property, shall not pledge them or grant any security over them, and ViraChem may require their return at the Buyer’s cost if payment is overdue. ViraChem’s total liability is limited to the net invoiced value of the supplied materials. No liability is accepted for indirect, consequential, or downstream use.

All commercial documents and transactions are confidential and intended solely for the named recipient.

EU VAT reverse-charge applies where applicable pursuant to Article 196 of Directive 2006/112/EC. Governing law is the Republic of Croatia, with exclusive jurisdiction of the courts of Zagreb.
